Organisational, Management and Control Model

Metinvest Trametal S.p.A., aiming at making known all principles and values on which it bases its business conduct, has adopted the Code of Ethics of Metinvest Group and has, in parallel, approved an Organisational, Management and Control Model, pursuant to the Italian Legislative Decree 231/2001 concerning the administrative liability of entities.


Full compliance with these values is required from all those who work with Metinvest Trametal in order to achieve its goals: in first place, employees and members of the management and supervisory bodies, but also all those who, although outside the corporate structure, have any kind of working relationships with Metinvest Trametal, such as consultants, agents, sales representatives, contractors and suppliers are encouraged to comply with these values.


In the same perspective of consolidation of a corporate culture based on principles of fairness, transparency and legality, the Organisational, Management and Control Model was also adopted in 2015 pursuant to the above mentioned Italian Legislative Decree 231/2001, thanks to which Metinvest Trametal, following a thorough analysis aimed at identifying the potential activities at risk of commission of corporate offences, is committed to establish a system of rules and organizational controls, permitting the identification and the prevention of commission of said offenses.


With the specific task of monitoring the functioning, effectiveness and compliance with the Organisational, Management and Model and its updating, a Supervisory Board (Organismo di Vigilanza) has been instituted within the Company.


Therefore, the Organisational, Management and Control Model, as well as the Code of Ethics, which is an integral part of it, takes place in the more comprehensive project aimed at promoting those principles and values that Metinvest Trametal aspires to, and for that reason it is in the Metinvest Trametal’s interest to enter into business relationships with persons that share the same principles.

Whistleblowing Policy

Metinvest Trametal S.p.A. published the new “Whistleblowing policy” related to the methods of reporting misconducts and irregularities within our companies and the protection measures for the people who make such internal reporting (so-called "Reporting Person" or "Whistleblower").

The document has been drawn in compliance with the provisions of the Italian Legislative Decree 24/2023, transposing in Italy the Directive (EU) 2019/1937 of the European Parliament and of the Council of October 23, 2019 concerning the protection of persons (Reporting Person or Whistleblower) who report breaches of EU law.

The procedure is aimed at facilitating the emergence of violations and pursues the purpose of providing whistleblowers with clear operational indications with regard to the object, contents, recipients and methods of transmission of the internal reporting, as well as with regard to the forms of protection that are offered to them by the legislation.

If the Reporting Person wishes to make internal reports under said procedure, he/she can make it through the webform: SCM Trust Line Web-form - for users outside of Ukraine.
